Terms and Conditions

• Term of the Agreements: The term of this Agreement will begin upon our acceptance of your Affiliate application and will end when terminated by either party. Either you or we may terminate this Agreement at any time, with or without cause, by giving the other party written notice of termination. You are only eligible to earn referral fees on sales occurring during the term.

• Payments and Commissions: The MaxSponder Affiliate Program will pay the Affiliate a 20% commission of eachMaxSponder Autoresponder Sale which is generated by a visitor from Affiliate's web site using their unique Affiliate Link. Each Affiliate may signup Sub-Affiliates and receive a 10% commission for each of the Sub-Affiliate's Sales.
  
  Affiliate commissions will be paid by company check every 30 days, on or about the 15th of each month for the previous month's commissions. Quality Software, Inc. reserves the right to modify the payment schedule as long as a notice is sent to the affiliates outlining the changes. If commission does not exceed $25 for pay period, we will hold payment until commissions accumulate to $25 or more.
  
  Affiliates are welcome to signup for multiple affiliate numbers for tracking different marketing campaigns, but may NOT signup as a sub-affiliate on their own affiliate number. To set up a second affiliate number, send an email to:

  Violation of this policy may result in the cancellation of your affiliate account.
  
  The MaxSponder Affiliate Program is not limited to U.S. residents, however, all payments will be made in U.S. dollars.
  
  If an affiliate sale is canceled or refunded, the related commission will be deducted from the next monthly payment.
  
  All Affiliates are are responsible for their own local, state, or country taxes. No affiliate of Quality Sofware, Inc. is considered to be an employee. The relationship between Quality Software, Inc. and Affiliate established by this Agreement is that of independent contractors.
  
  Both Quality Software, Inc. and the Affiliate reserve the right to terminate this agreement at any time. If canceled, outstanding commissions for current period at time of cancellation shall be paid in the next monthly payment so long as rules of this agreement were not violated by the Affiliate.
   

• Affiliate Web Address: You will be issued an "Affiliate Web Address", or unique URL, which allows us to track visitors from your site insuring commissions are paid correctly. These visitors are tracked with this unique URL and sales are recorded and tagged with an Affiliate Id. To receive commissions, you must use the provided Affiliate Link as it is issued after joining the affiliate program. Affiliate links may be in various forms such as a banner, text link, full web page or FREE Autoresponder form.
  
  Quality Software, Inc. reserves all rights with respect to its trademarks, but affiliates may use the trademarks in their marketing efforts so long as they are not misrepresented, defamed or associated with any distasteful content.
  
  Affiliate is solely and completely responsible for insuring that their Affiliate Web Address is setup properly to track for commissions. Quality Software, Inc. is NOT responsible for Affiliate Web Addresses that are coded incorrectly on an affiliates website, nor are we responsible for incorrect use of the Affiliate Web Address in email marketing efforts. The affiliate is highly encouraged to test ALL links used on personal websites and emails to insure the link is accurate and functional.
  
  Affiliate are welcome to use their own Affiliate Link to order services from Quality Software, Inc.
  
  Affiliate agrees to not send unsolicited email or SPAM email to promote MaxSponder products or services. This action will result in immediate termination of your account with a cancellation of any pending commissions. Affiliate will also be in violation of the MaxSponder Affiliate Agreement and subject to legal action.
   

•  Disclaimer:Quality Software, Inc. will make every conceivable effort to track and pay commissions for all sales that apply to each Affiliate. However, Quality Software, Inc. is not responsible for technical problems, acts by third parties, or other events outside our reasonable control which may temporarily disrupt or diminish this service.
   

• Customer Privacy: To protect customer privacy, we cannot provide customer names and contact information to affiliates. We will, however, provide an online report detailing price, service, date of sale, and commissions earned for your records.
   

• Limitation of Damages: We will not be liable for indirect, special or consequential damages, or any loss of revenue, profits or data, arising in connection with this Agreement or the Program, even if we have been advised of the possibility of such damages. Further, our aggregate liability arising with respect to this Agreement and the Program will not exceed the total referral fees paid or payable to you under to this Agreement.
  
  Affiliate understands that Affiliate tracking can never be 100% accurate and we are not responsible for inaccuracies that might occur beyond its control. Tracking of Affiliate sales depend on several factors which are out of the control of us. It is the goal of Quality Software, Inc. to make Affiliate tracking as accurate as possible, however, we cannot guarantee 100% tracking for situations beyond its control.
   

• Modification: We may modify any of the terms and conditions contained in this Agreement, at any time and in our sole discretion, by posting a change notice or a new agreement on this site. Modifications may include, for example, changes in the scope of available referral fees, fee schedules, payment procedures and Program rules. IF ANY MODIFICATION IS UNACCEPTABLE TO YOU, YOUR ONLY RECOURSE IS TO TERMINATE THIS AGREEMENT. YOUR CONTINUED PARTICIPATION IN THE PROGRAM FOLLOWING OUR POSTING OF A CHANGE NOTICE OR NEW AGREEMENT ON OUR SITE WILL CONSTITUTE BINDING ACCEPTANCE OF THE CHANGE.
   

• Independent Investigation: YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT AND AGREE TO ALL ITS TERMS AND CONDITIONS. YOU UNDERSTAND THAT WE MAY AT ANY TIME (DIRECTLY OR INDIRECTLY) SOLICIT CUSTOMER REFERRALS ON TERMS THAT MAY DIFFER FROM THOSE CONTAINED IN THIS AGREEMENT OR OPERATE WEB SITES THAT ARE SIMILAR TO OR COMPETE WITH YOUR WEB SITE. YOU HAVE INDEPENDENTLY EVALUATED THE DESIRABILITY OF PARTICIPATING IN THE PROGRAM AND ARE NOT RELYING ON ANY REPRESENTATION, GUARANTEE OR STATEMENT OTHER THAN AS SET FORTH IN THIS AGREEMENT.
